Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Sifartek ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services. These terms constitute a legally binding agreement between you and Sifartek.

2. Description of Services

Sifartek is a B2B technical staffing company that connects businesses with pre-vetted software developers. Our services include:

• Sourcing, vetting, and matching qualified developers to your technical requirements
• Managing payroll, benefits, and HR administration for placed developers
• Providing ongoing support and developer management throughout the engagement
• Offering a free developer replacement guarantee to ensure client satisfaction

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information regarding your staffing needs and technical requirements
• Maintain a professional and respectful working environment for assigned developers
• Provide necessary tools, access, and resources for the developer to perform their work
• Communicate expectations, project requirements, and feedback in a timely manner
• Not directly solicit, hire, or contract with a developer placed by Sifartek outside of our agreement without prior written consent
• Comply with all applicable laws and regulations in your jurisdiction

4. Payment Terms

Our payment terms are as follows:

• Services are billed at a flat monthly rate as agreed upon in your service agreement
• Monthly invoices are issued for each engaged developer and are due upon receipt unless otherwise specified
• Invoices are issued in accordance with EU invoicing standards
• For EU clients: VAT is handled via the reverse charge mechanism where applicable
• All contracts operate on a month-to-month basis with no long-term commitment required
• Late payments may be subject to a late fee as outlined in your service agreement
• Sifartek handles all developer payroll, benefits, and related taxes on your behalf

5. Intellectual Property

All intellectual property, including but not limited to code, designs, documentation, and other work product created by developers placed through Sifartek during the course of their engagement with you, shall be the sole and exclusive property of the Client. Sifartek makes no claim to any intellectual property produced under your direction. You are responsible for ensuring that appropriate confidentiality and IP assignment agreements are in place as needed for your projects.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, technical specifications, source code, trade secrets, and client data. Sifartek will ensure that all developers placed with your organization adhere to reasonable confidentiality standards. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

7. Developer Replacement Guarantee

Sifartek offers a free developer replacement guarantee to ensure your satisfaction:

• If a placed developer does not meet your expectations or requirements, we will provide a replacement at no additional cost
• Replacement requests should be communicated to Sifartek with a description of the concerns or issues encountered
• We will work diligently to source and place a suitable replacement as quickly as possible
• This guarantee is subject to reasonable use and good-faith participation by the Client

8. Trial Period

We offer a 2-week risk-free trial period for each new developer engagement. If you are not satisfied with the developer's performance during the first two weeks, you will not be charged for that period.

9. Limitation of Liability

To the fullest extent permitted by law, Sifartek shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services. Our total liability for any claim arising from or related to these terms or our services shall not exceed the total fees paid by you to Sifartek during the three (3) months immediately preceding the event giving rise to the claim. Sifartek does not guarantee specific outcomes, project completion timelines, or the performance of individual developers beyond our replacement guarantee.

10. Termination

Either party may terminate the service agreement under the following conditions:

• All engagements operate on a month-to-month basis with no minimum commitment period
• Either party may terminate the engagement with 30 days' written notice
• There are no setup fees or onboarding fees
• Upon termination, the Client is responsible for payment of all services rendered through the end of the notice period
• Sifartek reserves the right to terminate services immediately in cases of non-payment, breach of these terms, or illegal activity
• Confidentiality obligations survive termination of the agreement

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from these terms shall be resolved in the Harju County Court (Harju Maakohus), Tallinn, Estonia. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation within 30 days.

12. Changes to These Terms

Sifartek reserves the right to modify these Terms of Service at any time. We will notify clients of any material changes by posting the updated terms on this page and updating the "Last updated" date. Your continued use of our services after any changes constitutes your acceptance of the revised terms. We encourage you to review these terms periodically.
